Ben is a Partner in the Corporate team.
He has a reputation as a friendly, trusted adviser to large owner-managed businesses – especially sellers – on share sales and asset purchases, management buyouts and buy-ins. He also works alongside clients on funding rounds and investment in startups and growing businesses – including angel investments by high net worth individuals.
In short, Ben gets to know clients to fully understand what is important to them and strives to take the stress out of M&A processes, with a focus on commercially structuring deals and working collaboratively to problem-solve.
Ben also has specialist expertise in employee share option schemes including Enterprise Management Incentives schemes (EMIs).
Recent examples of how Ben has supported clients include:
- advising Andrew Gerrie and Silverwood Brands plc on its £10m acquisition of Nailberry;
- advising the shareholders of successful executive search Altus Partners, on their sale to PE-backed LCap Group;
- advising the shareholders of Razor, AI-specialist bespoke software developers on their sale to Fulcrum IT Partners;
- advising long-standing client and global healthcare communications agency, emotive, on the multi-million pound acquisition of leading healthcare marketing and PR agency business Spink;
- completing over £100m worth of real estate investments through SPVs for renowned investment manager, Long Harbour;
- advising the shareholders of Waer Systems on their sale to Netherlands-based, listed Total Specific Solutions B.V.;
- acting sell-side on numerous IFAs to consolidators;
- advising the shareholders on the sale of custom display and lighting solutions company Selectronic to Anders Electronics plc, turning the deal around on favourable terms in less than three weeks; and
- advising sell-side on the MBO of successful law firm Lovetts.
